Key Requirements for Business Registration

- Company Name Options: You'll need a company name, so have at least three options ready in order of priority. The URSB online system allows you to do a quick name search for availability before you reserve it. Work your way down your list until you find an available name.
- National ID or Valid Passport: You need to have your National ID or a valid passport on hand. This is required for every person who will be a part of the company, including directors, shareholders, and the company secretary. Please note, a single person may not act as both a director and secretary.
- Company Objectives: Have at least five company objectives clearly written out. These will be essential when completing the Memorandum and Articles of Association.
- Key Forms: You'll also need to prepare other key forms like Form A1 (Statement of Nominal Capital), Form 18 (Notice of Registered Office), and Form 20 (Particulars of Directors).
- Shareholder Agreement: Before you register, I highly recommend having a shareholder agreement in place.
- Witness Availability: Some registration forms will require a witness to sign the printed copies. This person together with the director (s) and company secretary should be easily accessible.
- Registered Office and Postal Address: All companies are required to have a registered office and a postal address. You will need to get a postal address from Posta Uganda, which costs approximately UGX 53,000 (including charges) annually.
- Nominal Share Capital: You need to declare the amount of nominal share capital for your company. Remember that these are just the URSB fees.
